The contracts generated are not compliant with the laws of any specific country or jurisdiction. Before finalizing any contract, you must verify the governing law and ensure compliance with the applicable laws of the relevant jurisdiction(s). The Service does not guarantee that generated content will meet any specific legal requirements or standards.

4. User Responsibilities

You are ultimately responsible for all decisions made and actions taken based on your use of the Service.

By using the Service, you acknowledge and agree to:

• Provide accurate and complete information when using the Service
• Review and verify all generated documents before use — you assume responsibility for any errors or inaccuracies in the output

• Reverse engineering, decompiling, disassembling, or attempting to extract the underlying models, algorithms, or source code of the Service
• Interfering with or disrupting the integrity or performance of the Service

5.3 Misuse

• Providing false or misleading information when creating an account
• Impersonating any person or entity or misrepresenting your affiliation
• Using the Service for purposes other than contract drafting assistance

6. Intellectual Property

Documents you create using the Service belong to you. You retain all intellectual property rights in your input data and the output generated for you by the Service.

Lamicus retains all rights to the underlying technology, software, templates, and methodologies used to provide the Service.

7. Data Handling

7.1 AI Model Training

Your data is not used to train AI models. We do not use your input data, documents, or generated content to train or improve any AI models. Your content remains private to your account.

7.2 Third-Party AI Services

The Service uses third-party AI providers (such as OpenAI and Google) to generate content. We have configured these services to not use your data for model training. Please refer to our Privacy Policy for more details on data handling.

7.3 Data Security

While we implement reasonable security measures, we cannot guarantee that the Service is secure from hacking or other unauthorized intrusion. You should not upload highly sensitive or confidential information that requires absolute security guarantees.

8. Limitation of Liability

8.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDITOR AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or corruption of data
• Your use or inability to use the Service
• Any errors, omissions, or inaccuracies in the generated content
• Any decisions made or actions taken based on the Service's output
• Unauthorized access to your data
• Any third-party conduct on the Service

8.3 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (I) THE AMOUNTS PAID BY YOU TO LEDITOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED US DOLLARS ($100).

8.4 Essential Basis

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY AND DISCLAIMERS IN THESE TERMS FORM AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND LEDITOR, AND THAT LEDITOR WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lamicus and its operators from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service, including any documents you create or decisions you make based on the Service's output.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

11. Service Suspension and Interruption

11.1 Scheduled Maintenance

We may temporarily suspend the Service for scheduled maintenance, updates, or improvements. Where practicable, we will provide advance notice of scheduled maintenance.

11.2 Unscheduled Interruption

The Service may be interrupted without prior notice due to:

• System failures, technical difficulties, or security incidents
• Force majeure events (natural disasters, war, terrorism, pandemics, etc.)
• Actions required by law or governmental authority
• Third-party service provider outages
• Other circumstances where suspension is objectively reasonable

11.3 No Liability for Interruption

We shall not be liable for any damages, losses, or inconvenience caused by service suspension or interruption, whether scheduled or unscheduled.

12. Termination

12.1 Termination by You

You may terminate your account and stop using the Service at any time through the account settings or by contacting us. Upon termination, your right to use the Service will immediately cease.

12.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• You engage in any prohibited activities described in Section 5
• We determine that your continued use of the Service is inappropriate
• We are required to do so by law or governmental authority
• We discontinue the Service in whole or in part

12.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account data, subject to our data retention policies and legal obligations
• Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and governing law provisions

12.4 No Refunds

If you have a paid subscription, termination by either party will not entitle you to a refund of any fees already paid, except as required by applicable law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Publicity

By using the Service, you consent to Lamicus using your company name and logo on our website, landing pages, and marketing materials as a reference customer, unless you notify us otherwise.

If you do not wish to be featured as a reference customer, you may opt out at any time by sending written notice (including email) to us at the contact information provided in Section 16. Your opt-out will take effect within thirty (30) days of our receipt of your notice.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
